1. Acceptance of Terms

By accessing or using ParkTle ("we," "us," "our," or "the Service"), including our mobile application, website, and related services, you ("User," "you," or "your") agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you must not access or use the Service.

These Terms constitute a legally binding agreement between you and ParkTle. By creating an account, making a reservation, or using any aspect of our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

2. Description of Service

ParkTle is a technology platform that connects users with parking facilities and shuttle services ("Lot Owners") for cruise ports, airports, and other destinations. We provide:

  • An online platform and mobile application for booking parking spaces
  • Shuttle service coordination between parking facilities and destinations
  • Payment processing services
  • Real-time tracking and communication tools
  • Customer support services

ParkTle acts as an intermediary between Users and Lot Owners. We do not own, operate, or control the parking facilities or shuttle vehicles. Lot Owners are independent third-party service providers who are solely responsible for their services, facilities, and compliance with applicable laws.

3. User Accounts and Registration

3.1 Account Creation

To use certain features of the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security of your account credentials
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account
  • Be at least 18 years old or have parental consent if under 18

3.2 Account Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to:

  • Violation of these Terms
  • Fraudulent, abusive, or illegal activity
  • Providing false or misleading information
  • Non-payment of fees
  • Any conduct that we determine is harmful to other users, Lot Owners, or ParkTle

4. Reservations and Bookings

4.1 Booking Process

When you make a reservation through our Service, you are entering into a contract directly with the Lot Owner, not with ParkTle. ParkTle facilitates the transaction but is not a party to the agreement between you and the Lot Owner.

4.2 Reservation Confirmation

Your reservation is confirmed only after you receive a confirmation email or notification from us. The Lot Owner reserves the right to cancel or modify reservations due to circumstances beyond their control, including but not limited to weather, emergencies, or facility closures.

4.3 Pricing and Payment

All prices displayed on the Service are set by Lot Owners and are subject to change without notice. You agree to pay the total amount displayed at the time of booking, including:

  • Parking fees
  • Shuttle service fees (if applicable)
  • Service charges and platform fees
  • Taxes and government fees
  • Any additional fees disclosed at the time of booking

Payment is processed through third-party payment processors (including Stripe). By providing payment information, you authorize us and our payment processors to charge your payment method for all amounts due. All payments are final unless otherwise stated in the cancellation policy.

5. Cancellation and Refund Policy

In general, cancellation policies may include:

  • Full refunds for cancellations made within a specified time period
  • Partial refunds for cancellations made closer to the reservation date
  • No refunds for no-shows or last-minute cancellations
  • Special policies for weather-related cancellations or emergencies

Refunds, when applicable, will be processed to the original payment method within 5-10 business days. Platform fees and service charges may be non-refundable.

6. User Responsibilities and Conduct

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

  • Use the Service for any illegal or unauthorized purpose
  • Violate any local, state, national, or international law
  • Infringe upon the rights of others, including intellectual property rights
  • Transmit any viruses, malware, or harmful code
  • Attempt to gain unauthorized access to the Service or related systems
  • Interfere with or disrupt the Service or servers
  • Use automated systems to access the Service without authorization
  • Impersonate any person or entity or misrepresent your affiliation
  • Harass, abuse, or harm other users or Lot Owners
  • Collect or store personal data about other users
  • Use the Service to compete with ParkTle or solicit Lot Owners

You are solely responsible for your vehicle, personal property, and safety while using parking facilities and shuttle services. ParkTle is not responsible for theft, damage, or loss of property.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PARKTLE AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, data, or use
  • Property damage or theft
  • Personal injury or death
  • Vehicle damage or loss
  • Missed flights, cruises, or other travel arrangements
  • Emotional distress or inconvenience
  • Costs of substitute services

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

ParkTle acts solely as an intermediary platform. We are not responsible for:

  • The quality, safety, or legality of parking facilities or shuttle services
  • The accuracy of information provided by Lot Owners
  • Disputes between Users and Lot Owners
  • Delays, cancellations, or modifications by Lot Owners
  • Weather conditions, natural disasters, or other force majeure events
  • Third-party actions or failures

8. Indemnification

You agree to indemnify, defend, and hold harmless ParkTle, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from:

  • Your use of or access to the Service
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your violation of any applicable law
  • Any content you submit, post, or transmit through the Service
  • Your interaction with Lot Owners or other users
  • Any damage or loss caused by your vehicle or property

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Accuracy, reliability, or completeness of information
  • Uninterrupted or error-free operation
  • Security or freedom from viruses or harmful code

We do not warrant that the Service will meet your requirements, be available at any particular time or location, be secure or error-free, or that defects will be corrected. We do not guarantee the availability of parking spaces or shuttle services.

10. Intellectual Property

The Service, including its original content, features, functionality, design, logos, trademarks, and software, is owned by ParkTle and protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal, non-commercial purposes. You may not:

  • Copy, modify, or create derivative works of the Service
  • Reverse engineer, decompile, or disassemble the Service
  • Remove any copyright, trademark, or proprietary notices
  • Use our trademarks or logos without written permission
  • Use the Service for commercial purposes without authorization

11. Third-Party Services and Links

The Service may contain links to third-party websites, services, or resources. ParkTle is not responsible for the availability, accuracy, or content of such third-party services. Your use of third-party services is at your own risk and subject to their terms and conditions.

We use third-party payment processors (including Stripe) to process payments. By using the Service, you agree to be bound by the payment processor's terms of service. ParkTle is not responsible for the actions or failures of payment processors.

12. Force Majeure

ParkTle shall not be liable for any failure or delay in performance under these Terms due to circumstances beyond our reasonable control, including but not limited to:

  • Natural disasters, weather events, or acts of God
  • War, terrorism, or civil unrest
  • Pandemics, epidemics, or public health emergencies
  • Government actions, laws, or regulations
  • Strikes, labor disputes, or work stoppages
  • Internet or telecommunications failures
  • Cyberattacks or security breaches
  • Third-party service failures

13. Dispute Resolution

13.1 Informal Resolution

Before filing a claim, you agree to contact us at legal@parktle.com to attempt to resolve the dispute informally. We will attempt to resolve disputes within 60 days.

13.2 Binding Arbitration

If informal resolution fails, you agree that any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in [Your State], United States, and judgment on the award may be entered in any court having jurisdiction.

You waive your right to a jury trial and to participate in a class action lawsuit. Arbitration will be conducted on an individual basis only.

13.3 Exceptions

The following disputes are not subject to arbitration:

  • Claims for injunctive relief
  • Small claims court actions
  • Intellectual property disputes

14. Governing Law

15. Changes to Terms

Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service and may terminate your account.

16. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

17. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published on the Service, constitute the entire agreement between you and ParkTle regarding the Service and supersede all prior agreements and understandings.

BY USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS, UNDERSTAND THEM, AND AGREE TO BE BOUND BY THEM. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT USE THE SERVICE.
